By using this website, submitting an application or inquiry, or otherwise engaging Nordthane Capital LLC ("Nordthane Capital," "we," "us"), you agree to these Terms of Use. If you do not agree, do not use this website or submit information to us. These Terms apply to all visitors, applicants, referral sources, and funding partners who use this website.
You must be at least 18 years old. By submitting an application or inquiry on behalf of a business, you represent that you are an owner, officer, or authorized representative of that business with legal authority to submit the information provided, to authorize its disclosure as described in our Privacy Policy, and to bind the business to these Terms. Our services are for business purposes only and are not offered to consumers for personal, family, or household purposes.
NORDTHANE CAPITAL LLC ARRANGES BUSINESS-PURPOSE INVOICE FACTORING BY INTRODUCING BUSINESSES TO INDEPENDENT THIRD-PARTY FUNDING PARTNERS. WE ARE NOT A LENDER AND WE ARE NOT A FACTOR.
Nordthane Capital LLC is not, and does not hold itself out as: a lender; a bank, savings institution, or credit union; an FDIC-insured depository institution; a factoring company or purchaser of accounts receivable; a money transmitter; a securities broker-dealer; an investment adviser; a law firm; or a certified public accounting firm.
We do not purchase invoices, advance funds, hold client funds, underwrite credit, make credit decisions, set advance rates, set factoring fees, or determine any terms. All funding decisions, approvals, declines, advance rates, fees, reserves, recourse terms, and notification practices are determined exclusively and independently by the third-party funding partner that purchases your invoices.
Nothing on this website or in any communication from us is legal, tax, accounting, or financial advice. Consult your own attorney and accountant before entering into any factoring agreement.
Your use of this website and our services does not create a fiduciary relationship, agency, partnership, or joint venture between you and Nordthane Capital LLC. We act as an intermediary introducing businesses to prospective funding partners. We do not owe you fiduciary duties and we do not promise the lowest available fee, the highest available advance rate, or any particular structure.
We are compensated by funding partners on funded transactions, typically as a share of the factoring fees the funding partner collects, and that compensation may differ between partners. We charge no application, packaging, retainer, or other fee to applicants.
Submitting an application, inquiry, or documents does not create a factoring agreement, a commitment, a pre-approval, or a guarantee of funding. No approval exists unless and until a funding partner issues a written offer and you execute a factoring agreement directly with that partner.
Any advance rates, fees, timelines, or estimates shown on this website, including those produced by our invoice estimator, are illustrative and non-binding. They are based on general market ranges, not on your file. Actual terms depend entirely on the funding partner's underwriting of your business, your customers' credit, and your invoices, and may differ materially.
Nordthane Capital LLC arranges business-purpose invoice factoring facilities for commercial operating companies, with a focus on trucking and freight carriers and IT staffing firms. This is the only service we offer.
We do not offer, advertise, solicit, or arrange merchant cash advances, sales-based or revenue-based financing, SBA loans, consumer loans, or financing secured by real property.
We accept applications only from businesses located in states where our funding partners operate and where we are permitted to arrange these services. Nothing on this website is an offer to arrange factoring in any jurisdiction where we are not permitted to do so.
Funding partners maintain their own industry, customer-concentration, and invoice-eligibility criteria, and some decline particular industries or debtors categorically. You are responsible for ensuring that your business and any financing you obtain comply with the laws governing your industry. We make no representation that factoring is available for any particular industry, customer, or invoice.
You represent that all information and documents you submit, including applications, accounts receivable aging reports, customer lists, invoices, rate confirmations, bills of lading, timecards, work tickets, and statements of work, are true, accurate, complete, current, and non-fraudulent, and that you have the right to submit them. You agree to promptly correct information that becomes inaccurate.
You acknowledge that submitting false or fraudulent information in connection with a request for commercial financing, including invoices for work not performed or invoices already sold or pledged to another party, may be a criminal offense, and that we may report suspected fraud to affected funding partners and to law enforcement.
You authorize Nordthane Capital LLC to transmit the information and documents you provide, including business identifying information, accounts receivable data, customer and debtor information, and invoice documentation, to independent funding partners for the purpose of obtaining factoring offers, as described in our Privacy Policy. You further authorize us and those partners to obtain business credit reports on your company and on your customers, to search public UCC filings, and to verify invoices with your customers.
We do not request Social Security Numbers through this website. If a funding partner requires owner identification at a later stage, you will provide it directly to that partner or through a secure channel they designate.
This authorization remains in effect until you revoke it in writing to info@nordthane.com.
You consent to receive communications, disclosures, notices, and records from us electronically, including by email, and agree that electronic delivery satisfies any requirement that such communications be in writing. You consent to the use of electronic signatures under the federal E-SIGN Act and applicable state law.
Phone calls. By submitting our application, you agree that we may call you at the number you provide, using ordinary calls placed manually by a member of our team, regarding your request, including document requests and funding offers. Providing a working phone number and agreeing to this contact is required to submit an application.
Automated calls and text messages. Our application separately includes an optional checkbox for automated contact: calls or text messages placed using an automatic telephone dialing system, a prerecorded or artificial voice, or SMS, regarding your request and our factoring services. You represent that you are the subscriber or customary user of the number provided. This consent is optional and is not a condition of applying or of obtaining any financing, and we will still process your application if you decline it. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help, or email info@nordthane.com. You agree to notify us if you give up the number.
Call recording. Calls with us may be monitored or recorded for quality assurance and recordkeeping. Where required by law you will be notified at the start of the call and may decline.
You agree to indemnify and hold harmless Nordthane Capital LLC and its members, managers, officers, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of: (a) information you submit that is inaccurate, incomplete, misleading, or fraudulent; (b) your breach of these Terms; (c) your violation of any law or regulation; (d) any dispute between you and a funding partner or between you and your customers; and (e) your use of any factoring facility obtained through an introduction made by us.
THIS WEBSITE, ITS CONTENT, AND ALL SERVICES PROVIDED BY NORDTHANE CAPITAL LLC ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY INFORMATION OR ESTIMATE IS ACCURATE, OR THAT ANY FACTORING FACILITY WILL BE OBTAINED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORDTHANE CAPITAL LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OF THIS WEBSITE OR OUR SERVICES.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR: ANY DECISION BY A FUNDING PARTNER TO APPROVE OR DECLINE; THE ADVANCE RATES, FEES, RESERVES, OR TERMS OFFERED BY ANY FUNDING PARTNER; ANY DELAY IN FUNDING OR IN INVOICE VERIFICATION; ANY NOTIFICATION SENT BY A FUNDING PARTNER TO YOUR CUSTOMERS; ANY UCC FILING MADE BY A FUNDING PARTNER; NON-PAYMENT BY YOUR CUSTOMERS OR ANY RESULTING RECOURSE OBLIGATION; ANY ACT, OMISSION, OR INSOLVENCY OF ANY FUNDING PARTNER; OR THE PRIVACY PRACTICES OF ANY THIRD PARTY TO WHOM YOUR INFORMATION IS TRANSMITTED WITH YOUR AUTHORIZATION.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID DIRECTLY TO NORDTHANE CAPITAL LLC IN THE TWELVE MONTHS PRECEDING THE EVENT, OR (B) FIVE HUNDRED DOLLARS ($500). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
ANY CLAIM ARISING OUT OF THESE TERMS, THIS WEBSITE, OR OUR SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED, EXCEPT WHERE A LONGER PERIOD IS REQUIRED BY LAW.
Before starting any arbitration or legal proceeding, you agree to send written notice of the dispute to info@nordthane.com describing the claim and the relief sought, and to allow sixty (60) days for informal resolution. This is a condition precedent to commencing any proceeding.
After the notice period, any dispute arising out of these Terms, this website, or our services shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Sheridan, Wyoming, with hearings conducted remotely at the arbitrator's discretion. The arbitrator shall apply Wyoming law.
CLASS ACTION WAIVER: YOU AND NORDTHANE CAPITAL LLC EACH AGREE THAT DISPUTES SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
JURY TRIAL WAIVER: YOU AND NORDTHANE CAPITAL LLC EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO TRIAL BY JURY.
OPT-OUT: You may opt out of arbitration and the class action waiver by emailing info@nordthane.com with the subject line "Arbitration Opt-Out" within thirty (30) days of your first submission. Opting out does not affect any other provision.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming. Our registered agent for service of process in Wyoming is Northwest Registered Agent Service Inc, 30 N Gould St Ste N, Sheridan, WY 82801.
All website copy, design elements, form structures, checklists, estimator tools, marketing materials, and brand assets are the property of Nordthane Capital LLC and are protected by copyright, trademark, and other laws. You may not copy, republish, scrape, frame, or create derivative works from any part of this website without our written consent. Automated data collection, including scraping and bot access, is prohibited.
You agree not to: submit false, fraudulent, or stolen information; submit invoices for work not performed or already sold or pledged elsewhere; use this website on behalf of a business without authorization; attempt to gain unauthorized access to our systems; interfere with the operation or security of the website; use the website for any unlawful purpose; or use information obtained here to solicit our funding partner relationships or clients.
Parties submitting inquiries through our partner intake are subject to these Terms. Any co-brokering, referral, syndication, or funding partner relationship is governed exclusively by a separate written agreement executed between the parties. Nothing on this website creates any partnership, referral entitlement, commission obligation, exclusivity, or non-circumvention obligation absent such a signed agreement.
We may refuse service, decline to submit any application, or terminate your access to this website at any time, for any reason, without notice and without liability.
We may update these Terms by posting a revised version with an updated "Last updated" date. Continued use of the website or submission of information after posting constitutes acceptance. For material changes we will use reasonable efforts to provide notice.
If any provision is held unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions remain in force. Our failure to enforce any provision is not a waiver. We may assign these Terms; you may not without our written consent. These Terms and the Privacy Policy are the entire agreement regarding this website. Sections 3 through 17, 18, and 23 survive termination.
